When deciding on a business entity type, we recommend consulting with an attorney or a CPA who is familiar with Delaware law for assistance on which business entity type will best suit your needs. Corporations, Public Benefit Corporations, Limited Liability Companies (LLC),vLimited Partnerships (LP), Statutory Trusts, and many General Partnerships (GP) must file with the Delaware Division of Corporations beginning August 1, 2013. The Delaware Division of Corporations does not require sole proprietorships to file. Certain filings with the Delaware Division of Corporations are available to unincorporated nonprofit associations and partnerships. GET IN TOUCH WITH A REGISTERED AGENT Every business entity in Delaware is required by law to have and retain a Registered Agent in the state, who can be either an individual resident or a commercial entity permitted to do business in Delaware. A physical street address in Delaware is required for the registered agent. On our website, you may find a list of Delaware Registered Agents. If a company's physical location is in Delaware, it can serve as its own registered agent. If the entity's registered agent is not the entity itself, please contact the Registered Agent you choose during entity formation and let them know your plans.

RESERVATION OF A NAME e-Delaware company formation of Corporations permits you to reserve a name for your business. This is not a prerequisite for forming your business, but it will ensure that your name is reserved for you for 120 days. You can reserve the name of your entity online. There is a $75.00 charge.
