Legislative
Materials Related Financial Modernization Legislation (relevant to Chapter
Four & Chapters Fourteen to Sixteen)
On November
12, 1999, President Clinton signed into law financial modernization
legislation that substantially liberalizes the rules governing
affiliations between depository institution and other sectors
of the financial services industry. To view the legislation,

Lending Limit
Exercise
(appropriate for use in connection with Chapter Three, Section
3)
- To help students
learn more about the role of counsel in representing financial
institutions, Professor Howell Jackson and Professor Elizabeth
Schiltz of Notre Dame Law School have developed a Lending Limit
Exercise in which students are called upon to draft an opinion
of counsel regarding a proposed transaction of a client bank.
The Exercise includes various documents and regulatory materials
that students must review before drafting their letters. The
exercise also includes background information on opinions of
counsel. The Exercise can be assigned to individual students
or groups of students. In the past, the Exercise has proved to
be an extremely effective and popular teaching device.

FIRMS AND CAPITAL MARKETS
For an effort
to establish international standards for the regulation of securities
firms, see the newly released report Objectives
and Principles of Securities Regulation: A Report of the International
Organisation of Securities Commissions (Sept. 1998). Does
the U.S. regulatory system outlined in Chapter Nine, meet these
standards? Is it reasonable to expect all jurisdictions to maintain
supervision at this level?
Chapter Eleven,
Section 2, pp. 768-70: In December of 1998, the SEC adopted final
regulations on the regulation of exchanges and alterantive trading
